ShopEasy Terms and Conditions

1. Acceptance of Terms

By accessing or using the ShopEasy mobile application ("App"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, do not use the App.

ShopEasy is a B2B marketplace platform connecting retailers with suppliers (distributors and manufacturers) in Kenya. We facilitate connections but do not process payments or handle transactions directly.

2. Account Registration

2.1 Eligibility

  • You must be at least 18 years old
  • You must represent a legitimate business entity
  • You must provide accurate and complete information
  • One account per business entity

2.2 Account Verification

  • Email verification is required via OTP for all users
  • Retailer accounts are activated immediately after email verification
  • Supplier accounts (distributors and manufacturers) require admin approval
  • Our team may conduct on-ground verification to confirm business authenticity
  • We may reject applications that do not meet our requirements
  • Supplier approval typically takes 1-3 business days

2.3 Account Security

  • You are responsible for maintaining password confidentiality
  • Notify us immediately of unauthorized access
  • You are liable for all activities under your account

3. User Roles and Responsibilities

3.1 Retailers

  • Browse and purchase products from suppliers
  • Maintain accurate delivery information
  • Communicate payment confirmations promptly
  • May advertise services through the platform
  • By placing orders, you agree to share your contact details and delivery address with suppliers for order fulfillment

3.2 Suppliers (Distributors & Manufacturers)

  • List accurate product information and pricing
  • Fulfill orders in a timely manner
  • Maintain adequate inventory levels
  • Provide accurate payment instructions
  • By listing products, you agree that your profile and contact details are visible to retailers in the app

3.3 Information Sharing

By using the platform, you acknowledge and consent that:

  • Your business name, phone number, business description, and location may be visible to other users
  • Location information is collected when you select your business location on the map during registration
  • Supplier profiles and contact details (including business location) are publicly accessible to retailers
  • Suppliers voluntarily provide their business name, contact details, and description to be displayed on the platform so retailers can discover and contact them directly
  • Order information (including contact details and delivery address) is shared between retailers and suppliers for fulfillment
  • This information sharing is necessary for the operation of the B2B marketplace

4. Orders and Transactions

4.1 Order Placement

  • Orders are placed through the shopping cart system
  • Order confirmation is sent via email and in-app notification
  • Orders are binding once placed

4.2 Order Cancellation

  • Only orders with PENDING status can be cancelled
  • Once processing begins, cancellation requires supplier approval
  • Cancellation requests must be made through the App

4.3 Payments

Important: Direct Payment Model

  • ShopEasy does NOT process payments
  • All payments are made directly between buyer and supplier
  • Payment methods and terms are agreed upon between parties
  • ShopEasy is not responsible for payment disputes

4.4 Order Status Workflow

  • PENDING: Order placed, awaiting supplier confirmation
  • CONFIRMED: Supplier has confirmed and accepted the order
  • DELIVERED: Order has been delivered to buyer
  • PAID: Payment has been confirmed by supplier
  • COMPLETED: Order successfully completed
  • CANCELLED: Order cancelled (only possible from PENDING status)

5. Refunds and Returns

ShopEasy does not handle refunds or returns. All disputes regarding product quality, delivery, or refunds must be resolved directly between buyer and supplier.

We encourage users to communicate clearly and resolve issues amicably. Repeated disputes may result in account review.

6. Prohibited Activities

You agree NOT to:

  • Provide false or misleading information
  • Impersonate another person or business
  • List counterfeit or illegal products
  • Engage in fraudulent transactions
  • Harass or abuse other users
  • Attempt to bypass security measures
  • Use automated systems to access the App
  • Reverse engineer or decompile the App
  • Resell or redistribute App access

7. Account Suspension and Termination

7.1 By ShopEasy

We reserve the right to suspend or terminate accounts for:

  • Violation of these Terms
  • Fraudulent activity
  • Repeated customer complaints
  • Inactivity for extended periods
  • Any reason at our sole discretion

7.2 By User

  • You may delete your account through App settings
  • OTP verification required for account deletion
  • Account data (profile, credentials) is deleted immediately upon confirmation
  • Transaction records (orders, invoices) are retained indefinitely for legal, tax, and business compliance

8. Intellectual Property

8.1 ShopEasy Property

The App, including its design, code, logos, and content, is owned by ShopEasy and protected by copyright and trademark laws.

8.2 User Content

  • You retain ownership of content you upload (product images, descriptions)
  • You grant ShopEasy a license to display and distribute your content
  • You warrant that you have rights to all uploaded content

9. Disclaimers and Limitations of Liability

Important Disclaimers:

  • ShopEasy is a marketplace platform only
  • We do not guarantee product quality, delivery, or supplier reliability
  • We are not party to transactions between users
  • App provided "AS IS" without warranties

9.1 Limitation of Liability

ShopEasy shall not be liable for:

  • Disputes between buyers and suppliers
  • Product defects or delivery issues
  • Payment disputes or fraud
  • Loss of profits or business opportunities
  • Data loss or service interruptions
  • Indirect, incidental, or consequential damages

10. Data and Privacy

Your use of the App is also governed by our Privacy Policy. By using the App, you consent to our data practices as described in the Privacy Policy.

11. Indemnification

You agree to indemnify, defend, and hold harmless ShopEasy, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

  • Your access to or use of the App
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Any disputes between you and other users (retailers or suppliers)
  • Any false or misleading information you provide
  • Your business operations or transactions conducted through the platform

12. Force Majeure

ShopEasy shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

  • Acts of God, natural disasters, epidemics, or pandemics
  • War, terrorism, civil unrest, or government actions
  • Internet service provider failures or telecommunications outages
  • Power outages or equipment failures
  • Strikes, labor disputes, or supply chain disruptions
  • Cyberattacks or security breaches beyond our control

During such events, our obligations under these Terms will be suspended for the duration of the force majeure event.

13. Push Notifications

  • We send notifications for order updates and important announcements
  • You can manage notification preferences in App settings

14. App Updates

  • We may release updates to improve functionality and security
  • Updates are delivered through Google Play Store
  • Some updates may be mandatory for continued use

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Continued use of the App after changes constitutes acceptance of modified Terms.

Material changes will be communicated via email or in-app notification.

16. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of Kenya.

14.2 Dispute Resolution

  • Contact us first to resolve disputes informally
  • Unresolved disputes shall be subject to Kenyan jurisdiction
  • Venue for legal proceedings: Nyeri, Kenya

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ShopEasy regarding use of the App.
